1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Customer," or "you") and TaskGenius ("we," "our," or "us"). These Terms govern your access to and use of the TaskGenius marketing website (taskgenius.tech), Web Command Center, mobile applications, and associated software tools (collectively, the "Services").

By accessing or using our Services, registering an account, or clicking to accept these Terms, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use the Services.

2. Description of Services

TaskGenius provides a cloud-based field service management and operations platform designed for trade contractors, field technicians, and project managers. Key capabilities include task scheduling, Gantt timeline planning, Universal Composer dictation, mobile time logs, expense tracking, automated reporting, and client communication tools.

We continually update and enhance our platform. We reserve the right to modify, update, or discontinue features of the Services at any time with or without prior notice.

3. Account Registration & Organization Roles

To use TaskGenius, you must create an account and provide accurate, current, and complete information. You are responsible for safeguarding your login credentials and for all activities that occur under your account.

  • Organization Administrators: Account creators or designated Admins hold full administrative authority over company settings, user provisioning, billing, and role permissions.
  • User Roles & Access Levels: Admin, Manager, Field Worker, and 1099 Contractor roles enforce distinct access permissions (Role-Based Access Control). Organization Admins are responsible for managing assigned user roles.
  • Credential Security: You agree to notify us immediately at support@taskgenius.ca upon discovering any unauthorized account access or security breach.

4. Subscriptions, Per-User Billing & Payments

Access to certain features and user seat allocations requires an active subscription.

  • Seat-Based Billing: Subscriptions are billed per active user seat on a recurring monthly or annual basis via Stripe.
  • Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless canceled prior to the renewal date through your self-service billing management portal.
  • Taxes & Fees: Customers are responsible for all applicable sales, use, or value-added taxes associated with their subscription.
  • Refunds: Payments are non-refundable except where required by law or specified in an enterprise service level agreement.

5. Acceptable Use & Prohibited Conduct

You agree to use the Services solely for lawful business operations and in compliance with all applicable laws. You agree NOT to:

  • Reverse engineer, decompile, disassemble, or attempt to extract source code from TaskGenius applications.
  • Attempt to bypass, disable, or breach multi-tenant data isolation, security controls, or role-based keyhole access guards.
  • Upload or transmit harmful code, viruses, malware, or destructive files.
  • Resell, sublicense, lease, or frame the Services without express written consent.
  • Use the Services to store or transmit illegal, infringing, or defamatory material.

6. Intellectual Property & Data Ownership

Your Data: You retain full ownership of all data, project logs, task documentation, photos, voice notes, and customer records uploaded to your TaskGenius account ("Customer Content"). You grant TaskGenius a non-exclusive license to host, copy, process, and display Customer Content solely as necessary to provide the Services.

TaskGenius IP: TaskGenius retains all rights, title, and interest in and to the platform, mobile apps, software architecture, branding, logos, trademarks, and documentation.

7. Disclaimers & Limitation of Liability

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TASKGENIUS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

8. Termination

You may cancel your account at any time via the self-service billing management portal. TaskGenius reserves the right to suspend or terminate your account upon written notice if you materially breach these Terms or fail to pay subscription fees when due.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable state and federal laws, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved through binding arbitration or in courts of competent jurisdiction.
